Agreement and precedence

These Terms of Service ("Terms") form an agreement between PYD ENTERPRISES PRIVATE LIMITED, a private limited company incorporated in India with CIN U47890MH2026PTC466054 ("PYD ENTERPRISES"), and the organization accepting them ("Customer"). By downloading, installing or using PYD ENTERPRISES software, or by using pydenterprises.com, you agree to these Terms on behalf of your organization and confirm you have authority to do so.

If Customer and PYD ENTERPRISES have signed a Master Software License Agreement, order form or statement of work, that signed document governs and these Terms apply only where it is silent.

License grant

Subject to payment and these Terms, PYD ENTERPRISES grants Customer a non-exclusive, non-transferable, non-sublicensable license during the subscription term to install and run the software on infrastructure Customer controls, for Customer's internal business purposes, within the limits in the order form (lines of code, number of systems, seats and term).

Evaluation licenses (the 14-day free trial) are limited to 100,000 lines of code, are for evaluation only, and expire automatically. Discovery Scan licenses run for 60 days per system. Global SI Partner licenses additionally permit use on behalf of the partner's end clients and white-label reports, under the partner terms in the order form.

Restrictions

Customer will not: reverse engineer the software except to the extent applicable law expressly permits despite this limitation; remove or bypass license key controls; redistribute, rent or offer the software as a hosted service to third parties (except Global SI Partners as permitted); or use the software to build a competing product.

Customer code and outputs

Customer retains all rights in its source code and in the specifications, decision tables, schemas, diagrams and test suites the software produces from it ("Outputs"). PYD ENTERPRISES claims no rights in Customer code or Outputs. Because the software runs on Customer infrastructure, PYD ENTERPRISES does not receive Customer code or Outputs in the ordinary course.

The software extracts specifications and test cases based on source code analysis. Customer is responsible for reviewing generated specifications, signing off extracted rules, and validating any target implementation built from them. PYD ENTERPRISES does not write or warrant Customer's target application.

Support and updates

During the subscription term PYD ENTERPRISES provides support by email and ticket at support@pydenterprises.com and toll-free 1800-266-4242, with response targets in the order form, and makes parser updates and dialect packs available as signed update bundles that Customer may download and transfer into its environment.

Fees and taxes

Fees are stated in the order form in US dollars and are invoiced annually in advance, or once for a Discovery Scan. Invoices are due within 30 days. Fees exclude taxes; Customer pays applicable sales, use, goods and services or withholding taxes, other than taxes on PYD ENTERPRISES' net income.

Warranties and disclaimers

PYD ENTERPRISES warrants that the software will perform materially as described in its documentation during the subscription term. If it does not, PYD ENTERPRISES will correct the nonconformity or, if it cannot within a reasonable time, either party may terminate the affected license and PYD ENTERPRISES will refund prepaid fees for the remaining term.

Except as expressly stated, the software is provided without other warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. PYD ENTERPRISES does not warrant that every business rule in a codebase will be extracted; the software accounts for every executable path it analyzes by extracting it as a rule, classifying it as plumbing, or flagging it for review.

Liability

Neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits or revenue. Each party's total liability under these Terms is limited to the fees paid or payable by Customer in the 12 months before the event giving rise to the claim. These limits do not apply to a party's indemnification obligations, breach of confidentiality, or Customer's payment obligations.

Term, termination and governing law

These Terms continue while Customer holds a license. Either party may terminate for material breach not cured within 30 days of written notice. On termination Customer stops using the software and deletes license keys; Outputs remain Customer's.

These Terms are governed by the laws of India, without regard to conflict of laws rules. The courts at Mumbai, Maharashtra have exclusive jurisdiction, and each party consents to venue there.
